Is an OPC Right for Your Business?

Choosing the right corporate structure establishes a solid legal foundation for individual entrepreneurs. A One Person Company (OPC) allows an eligible individual to establish a company with a separate legal identity while retaining sole membership.

1

Sole Membership & Separate Legal Identity

An OPC is incorporated under the Companies Act, 2013, with one person as its member. Once incorporated, it has an independent legal identity separate from its member and can hold assets, enter into commercial contracts, and carry on business in its own name.

2

Limited Liability Structure

An OPC provides a separate legal identity and limited liability to its member, meaning personal assets are generally distinct from business obligations, subject to applicable law and circumstances.

3

Corporate Continuity & Structure

An OPC provides a formal corporate structure with perpetual succession. A statutory nominee is designated during incorporation to ensure continuity in the event of the sole member’s death or incapacity to contract.

GOVERNANCE & LEGAL CODE

What is a One Person Company?

STATUTORY CONSTITUTION

Incorporated under the provisions of the Companies Act, 2013 in India, a One Person Company (OPC) is a recognized class of private company formed with only one person as its member.

It enables an individual entrepreneur to operate with the credibility of a corporate structure without requiring a co-founder. The incorporation process includes nominating an eligible person with their prior written consent to fulfill the statutory succession mechanism.

Governed under MCA Rules 2014 & Companies Act 2013

An OPC is incorporated with exactly one member/shareholder.

Must have at least one director. The sole member can also act as the director. Additional directors can be appointed in accordance with the Companies Act, 2013.

An OPC may be incorporated by a natural person who is an Indian citizen, whether resident in India or otherwise, subject to applicable eligibility requirements. The nominee must be an Indian citizen meeting the applicable residency and eligibility criteria under the Companies (Incorporation) Rules.

A person cannot generally be a member of more than one OPC at a time or a nominee of more than one OPC at a time, subject to applicable statutory provisions and prescribed exceptions. Minors cannot become members or nominees of an OPC.

There is no statutory minimum paid-up capital required for incorporation. The member can determine the capital structure based on business requirements.

An OPC cannot be incorporated or converted into a Section 8 (non-profit) company, nor can it carry out non-banking financial investment activities.
