Is a Private Limited Company Right for Your Business?

Selecting the appropriate corporate structure establishes a solid legal foundation for long-term growth. A Private Limited Company is widely preferred by entrepreneurs planning to scale, partner with co-founders, or raise external capital.

1

Separate Legal Entity

Upon incorporation, the company becomes an independent legal entity distinct from its shareholders. It can acquire assets, enter into commercial contracts, and hold legal standing under the Companies Act, 2013.

2

Structured Shareholding & Funding

Equity ownership can be cleanly divided among co-founders and prospective investors. This structure is often preferred by startups seeking equity investment, including from angel investors and venture funds.

3

Limited Liability & Governance

Shareholders generally benefit from limited liability, meaning their personal assets are separate from the company’s liabilities, subject to applicable law and circumstances. The established compliance framework enhances credibility with corporate vendors and banks.

GOVERNANCE & LEGAL CODE

What is a Private Limited Company?

STATUTORY CONSTITUTION

Incorporated under the provisions of the Companies Act, 2013 in India, a Private Limited Company (Pvt Ltd) is governed by its constitutional charter—the Memorandum of Association (MOA) and Articles of Association (AOA).

It operates with perpetual succession, meaning the company continues to exist legally regardless of changes in shareholding or directorship. Founders choose this model to build enterprise trust, issue employee stock option plans (ESOPs), and secure business contracts with large clients.

Requires a minimum of two directors and two shareholders (the same individuals can hold both roles).

At least one director must meet the statutory requirement of staying in India for at least 182 days during the financial year. For a newly incorporated company, this requirement applies proportionately in the financial year of incorporation.

There is no mandatory minimum paid-up capital required for incorporation. Founders can start with capital suitable for their business scale.

Requires post-incorporation statutory steps including Auditor appointment and Form INC-20A (Commencement of Business) filing.
