Is a Section 8 Company Right for Your Organization?

Choosing the right legal structure is vital for creating sustainable social impact and transparent governance. A Section 8 Company provides a corporate framework governed under the Companies Act, 2013, with defined governance, reporting, and statutory compliance requirements.

1

Body Corporate & Defined Governance

A Section 8 Company is an independent body corporate incorporated under the Companies Act, 2013. It can hold property in its own name, enter into contracts, and operate under defined statutory reporting and corporate governance requirements.

2

Non-Profit Objects & Limited Liability

The company is established for promoting social welfare, education, science, research, sports, healthcare, charity, environmental protection, or other permitted objects. Members’ liability depends on the company’s structure and applicable law. The company’s income and profits must be applied towards its stated objects.

3

Exemption from “Limited” Suffix

A Section 8 Company is granted statutory exemption from adding “Private Limited” or “Limited” to its official name. It may use eligible non-profit nomenclature such as Foundation, Forum, Association, Council, or Federation, subject to name availability and MCA approval.

GOVERNANCE & LEGAL CODE

What is a Section 8 Company?

STATUTORY CONSTITUTION

Incorporated under Section 8 of the Companies Act, 2013, a Section 8 Company is a registered corporate body established for the promotion of commerce, art, science, sports, education, research, social welfare, religion, charity, protection of the environment, or any other beneficial public object.

A Section 8 Company may undertake lawful revenue-generating activities consistent with its objects. However, its income and profits must be applied towards its stated objects in accordance with applicable law and cannot be distributed to its members by way of dividend.

Governed under MCA Rules 2014 & Companies Act 2013

For a private Section 8 Company, a minimum of two directors and two members are required. For a public Section 8 Company, a minimum of three directors and seven members are required. The same individuals may hold both member and director roles, subject to applicable requirements.

The company’s income and profits must be applied towards its stated objects in accordance with applicable law. Profits cannot be distributed to members by way of dividend.

The Section 8 licence is issued through the prescribed MCA SPICe+ incorporation process. Incorporation establishes the company’s legal status; charitable tax registrations and other approvals, where applicable, are separate.

A Section 8 Company is exempt from using “Limited” or “Private Limited” in its name. Eligible expressions may include Foundation, Association, Forum, Council, Federation, and other prescribed nomenclature, subject to name availability and MCA approval.

There is no prescribed minimum paid-up capital for incorporation. Depending on the proposed structure, a Section 8 Company may be incorporated with share capital or as a company limited by guarantee.

Upon winding up or dissolution, remaining assets cannot be distributed to members. They must be transferred to another Section 8 Company with similar objects or dealt with in the manner prescribed by applicable law.
